Terms of Service
Effective Date: October 5, 2026
Last Updated: October 9, 2026
1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of BookNerd, an AI-powered accounting and bookkeeping software platform owned and operated by Design Detective LLC ("Design Detective," "BookNerd," "we," "us," or "our"). BookNerd is a product and service of Design Detective LLC.
By creating an account, purchasing a subscription, accessing, or using BookNerd (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. Throughout these Terms, references to "BookNerd," "we," "us," or "our" refer to Design Detective LLC in its capacity as the owner and operator of the Service.
2. Legal entity
BookNerd is owned and operated by:
Design Detective LLC
Website: designdetective.net
BookNerd Website: booknerd.io
Business Address: Puyallup, WA 98374
Support Email: support@booknerd.io
All agreements entered into through these Terms are between the user and Design Detective LLC.
3. Your account
You're responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Tell us promptly if you suspect unauthorized access.
4. Subscriptions and billing
Paid plans are billed on a recurring basis through our payment processor (Stripe) until you cancel. Fees are non-refundable except where required by law. We may change pricing with advance notice; continued use after a price change takes effect means you accept the new price.
A new subscription may begin with a free trial. You can cancel during the trial to avoid being charged. Exports made during a free trial leave out transaction categories, which are included once the trial ends and your paid subscription begins. When you cancel, your subscription stays active until the end of the period you've already paid for.
5. Connected accounts and financial data
The Service lets you connect bank accounts through a third-party provider (Plaid) to import transactions, and uses AI to help categorize them. You're responsible for reviewing categorizations, reconciliations, and any reports the Service generates before relying on them — the Service is a bookkeeping tool, not a substitute for a licensed accountant, bookkeeper, or tax advisor.
If you connect a payment processor (Square or Stripe), the Service reads your payouts and the invoices you send through it, without the ability to change anything in that account. You choose whether the Service keeps your books on a cash or accrual basis, and you're responsible for using the basis, and recording the invoices, bills, and journal entries, that fit your business and your tax filings.
6. Acceptable use
Don't use the Service to break the law, to attempt to access another business's data without authorization, to interfere with the Service's operation, or to reverse-engineer or resell the Service without our written permission.
7. Termination
You can stop using the Service and cancel your subscription at any time from Settings. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk to the Service or other users.
Data after a subscription ends. If a subscription payment fails, the subscription stays active while the payment is retried, and we email the account owner. If it still isn't paid 3 weeks after the first failed payment (or once the payment retries have run out), we cancel the subscription and email the account owner. When a subscription ends, whether you cancel it or it lapses, we keep your financial data for 90 days. During that time the account owner can still view and export it, but can't connect or import anything new. You can resubscribe at any time during those 90 days to restore everything as you left it. We email the account owner when the subscription ends and again 60 days, 30 days, and 3 days before the deletion date. Bank, payment-processor, and email-inbox connections stay linked until the subscription ends and are disconnected at that point; if you resubscribe you will need to reconnect them. Other team members lose access to the business when the subscription ends, and we notify them in advance when the owner cancels. After that, only the account owner can access the business's data.
After 90 days, we permanently delete the financial data in the account, including transactions, ledgers and journal entries, invoices and bills, receipts and uploaded documents, reports, rules, and connections to your bank and other services. Deleted data can't be recovered. We delete it to protect your privacy and to meet our data-retention and compliance obligations. You're responsible for exporting anything you need before the deletion date, because deleted data can't be exported.
We keep your login, your business profile and settings, and records we must keep for billing, security, or legal reasons. Your account is then archived rather than closed: if you return, you can resubscribe and sign back in to a fresh set of books with no data. A free trial isn't offered again to a returning account. If you delete your account, we delete your data as described in our Privacy Policy and don't send these emails.
8. Limitation of liability
To the maximum extent permitted by applicable law, Design Detective LLC, BookNerd, and their officers, members, managers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, loss of data, tax penalties, accounting errors, or similar losses arising from or related to your use of BookNerd.
To the maximum extent permitted by law, the total aggregate liability of Design Detective LLC arising from or relating to BookNerd, the Service, or these Terms will not exceed the amount you paid for BookNerd during the 12 months immediately preceding the event giving rise to the claim.
The Service is provided "as is" without warranties of any kind. Some jurisdictions do not permit certain limitations of liability, so portions of this provision may not apply to you.
9. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Design Detective LLC, BookNerd, and their officers, members, managers, employees, contractors, agents, and affiliates from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:
- Your unlawful or unauthorized use of BookNerd;
- Your violation of these Terms;
- Your violation of another person's rights;
- Financial or other information you submit without appropriate authorization; or
- Your misuse of or unverified reliance upon AI-generated or automated outputs.
10. Intellectual property
BookNerd, including its software, artificial intelligence workflows, interfaces, branding, designs, underlying technology, and original content, is owned by Design Detective LLC or its licensors and is protected by applicable intellectual-property laws. These Terms do not transfer ownership of BookNerd or Design Detective LLC intellectual property to you.
You retain ownership of your financial data, business information, receipts, documents, and other content submitted to the Service, subject to the limited rights necessary for us to operate and provide BookNerd.
11. Changes to these terms
We may update these terms from time to time. Material changes will be announced in the Service or by email. Continued use after changes take effect means you accept the updated terms.
12. Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles. Any mandatory rights available to consumers under applicable law remain unaffected.
